Works council agreement (Betriebsvereinbarung)

If you are rolling out Sally in a company with a works council (Betriebsrat) under German labour law, a Betriebsvereinbarung is customary. Sally processes personal data of employees in the meeting context, so § 87 (1) 6 BetrVG (co-determination on technical devices) applies. What the template covers

The template is structured as 9 paragraphs and aligns with the DPA, the TOMs, and the AI compliance statement, so the works council receives one coherent, verifiable picture.

§1
Purpose and scope
Sally is deployed to document online and in-person meetings, plus uploaded audio and video files. Explicitly excludes performance and behaviour monitoring.

Nature, scope and location of processing
Data categories (audio, optional video, transcript, metadata), no facial or behavioural analysis, no biometric identification, no AI training on the data. Processing exclusively in German data centers.
§3
Transparency, meeting notice and opt-out
In online meetings, Sally posts a chat notice about the ongoing transcription and any participant can type 'opt out' for immediate deletion. For in-person recordings via the Sally app and for uploaded files, the chat notice and chat-based opt-out are not technically available, so the recording person must inform participants and document consent before the recording begins.

Roles and access permissions
Meeting host and inviter see the transcript and summary; further access follows the internal permission model. Access and admin actions are logged.

Retention and deletion
Raw audio and video for transcription is deleted after processing. Retention periods per data type (transcript, summary, audio, video) are configured by the employer in Sally.

Employee rights
Employees can exercise their GDPR rights (Art. 15 to 22) with the employer, who is the controller. Sally provides the technical means (export, deletion).

Information security and hosting
TLS 1.3 in transit, AES-256 at rest, role-based access, tenant separation, logging, all as documented in the TOMs.

Rules of use
No use for surveillance, disciplinary or sanction purposes. Confidential conversations (professional secrecy) follow the applicable rules. No covert recordings, the § 3 notice is always ensured.

Final provisions
Written-form requirement for changes, plus a standard severability clause. Signature blocks for both employer and works council.

Why these safeguards matter for the works council

Sally is contractually excluded from behavioural or performance analysis. No face, emotion or individual-performance evaluation.

Opt-out in every meeting

Any participant can type opt out in the chat. All captured meeting data is deleted immediately and Sally leaves the meeting.

Meeting content, transcripts and metadata stay in German data centers at Hetzner. AI processing runs on Sally's own LLM, operated end-to-end in our own infrastructure.

How to use the template

  1. Download the Word file and open it with your works council.
  2. Adapt the placeholders and any company-specific paragraphs (retention periods, permitted roles, escalation paths).
  3. Sign both parties (employer and works council). The template already contains the signature block.
  4. Attach the signed Betriebsvereinbarung as an internal document to your existing DPA with Aliru.

The template references the DPA and the TOMs, so no duplicate content is needed. Any changes you make apply only inside your company.
